PLEASE READ THIS USER AGREEMENT AND ALL OTHER AGREEMENTS AND POLICIES REFERENCED HEREIN COLLECTIVELY DEFINED BELOW AS THE "TERMS OF SERVICE" CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS AND A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER.

This User Agreement (this “Agreement”) is a contract between Waste Generator (“WG”) Waste Recycler (“WR”), DECYCLE FZC (“us”) and our affiliates Waste collector (“WC”) . You must read, agree to, and accept all of the terms and conditions contained in this Agreement to be a User of our website located at www.DECYCLE.co

Subject to the conditions set forth herein, DECYCLE may, in its sole discretion, amend this Agreement and any of the other agreements that comprise the Terms of Service at any time by posting a revised version on the Site. DECYCLE will provide reasonable advance notice of any amendment that includes a Substantial Change (defined below), by posting the updated Terms of Service on the Site, providing notice on the Site, and/or sending you notice by email. If the Substantial Change includes an increase to Fees charged by DECYCLE, DECYCLE will provide at least 30 days’ advance notice of the change, but may not provide any advance notice for changes resulting in a reduction in Fees or any temporary or promotional Fee change. Any revisions to the Terms of Service will take effect on the noted effective date (each, as applicable, the “Effective Date”).

YOU UNDERSTAND THAT BY USING THE SITE OR SITE SERVICES AFTER THE EFFECTIVE DATE, YOU AGREE TO BE BOUND BY THE TERMS OF SERVICE, INCLUDING THE ARBITRATION PROVISION IN SECTION 9 OF THIS AGREEMENT (SUBJECT TO YOUR RIGHT TO OPT OUT OF THE ARBITRATION PROVISION AS PROVIDED IN SECTION 9). IF YOU DO NOT ACCEPT THE TERMS OF SERVICE IN ITS ENTIRETY, YOU MUST NOT ACCESS OR USE THE SITE OR THE SITE SERVICES AFTER THE EFFECTIVE DATE EXCEPT AS PERMITTED BY THE SITE TERMS OF USE.

IF YOU AGREE TO THE TERMS OF SERVICE ON BEHALF OF AN ENTITY OR AGENCY, OR IN CONNECTION WITH PROVIDING OR RECEIVING SERVICES ON BEHALF OF AN ENTITY OR AGENCY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY OR AGENCY TO THE TERMS OF SERVICE AND AGREE THAT YOU ARE BINDING BOTH YOU AND THAT ENTITY OR AGENCY TO THE TERMS OF SERVICE. IN THAT EVENT, “YOU” AND “YOUR” WILL REFER AND APPLY TO YOU AND THAT ENTITY OR AGENCY.

1. DECYCLE ACCOUNTS

Section 1 discusses what user must agree to before using the Site or Site Services and the different types of accounts that can be created on the Site, as detailed below.

1.1 REGISTRATION AND ACCEPTANCE

By registering for an account to use the Site or Site Services (an “Account”), by using the Site or Site Services after the Effective Date if you had an Account on the Effective Date, or by clicking to accept the Terms of Service when prompted on the Site, you agree to abide by this Agreement and the other Terms of Service.

To access and use certain portions of the Site and the Site Services, you must register for an Account. Subject to the Site Terms of Use, certain portions of the Site are available to Site Visitors, including those portions before your Account registration is accepted. DECYCLE reserves the right to decline a registration to join DECYCLE or to add an Account of any type (i.e., as a WR or WG), for any lawful reason, including missing authorization to work in the country of operation, or other business considerations.

1.2 ACCOUNT ELIGIBILITY

DECYCLE offers the Site and Site Services for your business purposes only and not for personal, household, or consumer use. To register for an Account or use the Site and Site Services, you must, and hereby represent that you: (a) are an employee or agent of and authorized to act for and bind an independent business (whether it be as a self-employed individual/sole proprietor or as a corporation, limited liability company, or other entity); (b) will use the Site and Site Services for business purposes only; (c) will comply with any licensing, registration, or other requirements with respect to your business, or the business for which you are acting, and the provision of Freelancer Services; and (d) are either a legal entity or an individual who is 18 years or older (or have otherwise reached the age of majority in the jurisdiction in which you conduct business) in each case who can form legally binding contracts.

1.3 ACCOUNT PROFILE

To register for an Account to join the Site, you must complete a User profile (“Profile”), which you consent to be shown to DECYCLE, You agree to provide true, accurate, and complete information on your Profile and all registration and other forms you access on the Site or provide to us and to update your information to maintain its truthfulness, accuracy, and completeness. You agree not to provide any false or misleading information about your identity or location, your business,  or the services your business provides and to correct any such information that is or becomes false or misleading.

1.4 ACCOUNT TYPES

As described in this Section, there are a number of different Account types. You agree not to have or register for more than one Account without express written permission from us. We reserve the right to revoke the privileges of the Account or access to or use of the Site or Site Services, and those of any and all linked Accounts without warning if, in our sole discretion, false or misleading information has been provided in creating, marketing, or maintaining your Profile or Account.

1.4.1 WASTE GENERATOR ACCOUNT

You can register for an Account or add an Account type to use the Site and Site Services as a Waste Generator (a “WG Account”). Each WG Account can be given one permissions to act on behalf of the WG Account.

1.4.2 WASTE RECYCLER ACCOUNT

You can register for an Account or add an Account type to use the Site and Site Services as a Waste Recycler (a “WR Account”). Each WR Account can be given one permissions to act on behalf of the WR Account.

1.4.3 WASTE COLLECTION ACCOUNT

This is DECYCLE employee account, and it will be responsible of collecting the waste once the waste generator request for collection to be scheduled. And the waste collection account is for verifying the waste eligibility, quantity, and quality as per waste contract and proposal terms and conditions.

1.5 ACCOUNT PERMISSIONS

You agree not to request or allow another person to create an Account on your behalf, for your use, or for your benefit, except that an authorized employee or agent may create an Account on behalf of your business. By granting other Users permissions under your Account, including as a Team Member or Agency Member, you represent and warrant that: (a) the User is authorized to act on your behalf; and (b) you are fully responsible and liable for the User’s acts and omissions, including for obligations and liabilities relating to making payments and entering into Service Contracts and the Terms of Service. If any such User violates the Terms of Service, it may affect your ability to use the Site and Site Services. Upon closure of an Account, DECYCLE may close any or all related Accounts.

Additionally, in the event of company want to change the email register for any account they should send an official request to DECYCLE team to start the process of changing the email to another with maintaining all data related to the account.

1.6 IDENTITY AND LOCATION VERIFICATION

When you register for an Account and from time to time thereafter, your Account will be subject to verification, including, but not limited to, validation against third-party databases or the verification of one or more official government or legal documents that confirm your identity, your location, and your ability to act on behalf of your business on DECYCLE. You authorize DECYCLE, directly or through third parties, to make any inquiries necessary to validate your identity, your location, and confirm your ownership of your email address or financial accounts, subject to applicable law. When requested, you must timely provide us with complete information about yourself and your business, which includes, but is not limited to, providing official government or legal documents. During verification some Account features may be temporarily limited. When a verification is successfully completed, Account features will be restored.

1.7 USERNAMES AND PASSWORDS

Each person who uses the Site must register for their own Account. When you register for an Account, you will be asked to choose a username and password for the Account. You are entirely responsible for safeguarding and maintaining the confidentiality of your username and password. You agree not to share your username or password with any person, and, if you are a legal entity who is not a natural person, to only share your username and password with a person who is authorized to use your Account. You authorize DECYCLE to assume that any person using the Site with your username and password, either is you or is authorized to act for you. You agree to notify us immediately if you suspect or become aware of any unauthorized use of your Account or any unauthorized access to the password for any Account. You further agree not to use the Account or log in with the username and password of another User of the Site if (a) you are not authorized to use both or (b) the use would violate the Terms of Service.

2. PURPOSE OF DECYCLE

Section 2 discusses what DECYCLE does and does not do when providing the Site and Site Services and some of your responsibilities when using the Site to find or enter into a Service Contract as detailed below.

The Site is a marketplace where WG can post a service contract for type and quantity of waste to be collected and WR can identify each service contract posted and send proposal according to information on each contract posted. Subject to the Terms of Service, DECYCLE provides the Site Services to Users, including hosting and maintaining the Site, facilitating the formation of Service Contracts, and assisting Users in resolving disputes which may arise in connection with those Service Contracts. When a User enters a Service Contract, the User uses the Site to invoice and pay any amounts owed under the Service Contract.

2.1 RELATIONSHIP WITH DECYCLE

DECYCLE merely makes the Site and Site Services available to enable WR and WG to find and interact with each other. DECYCLE does not introduce WR to WG, select Projects for WR, or select WR for WG. Through the Site and Site Services, WR may be notified of WG that may be seeking the services they offer; at all times, however, Users are responsible for evaluating and determining the suitability of any Project, WR or WG on their own. If Users decide to enter into a Service Contract, the Service Contract is directly between the Users and DECYCLE.

You acknowledge, agree, and understand that DECYCLE is facilitator between WR and WG. Without limitation, Users are solely responsible for: (a) ensuring the accuracy and legality of any User Content; (b) determining the suitability of other Users for a Service Contract ( (c) negotiating, agreeing to, and executing any terms or conditions of Service Contracts; You further acknowledge, agree, and understand that you are solely responsible for assessing whether to enter into a Service Contract with another User. You acknowledge, agree, and understand that DECYCLE does not, in any way, supervise, direct, control, or evaluate WR or their work and is not responsible for any Project, Project terms or Work Product. DECYCLE makes no representations about and does not guarantee, and you agree not to hold DECYCLE responsible for, the quality, safety, or legality of WR Services; the ability of WR to pay for WG; While DECYCLE may provide certain badges on any user profiles, such badges are not a guarantee or warranty of quality or ability or willingness of the badged WR or WG to complete a Service Contract and is not a guarantee of any kind, including, the quality of services.

You also acknowledge, agree, and understand that DECYCLE will charge the WR collection fees extra in case of awarding any service contract, also the WG is fully and solely responsible to award the service contract to most suitable offer which should include prices, terms and condition for the waste to be accepted such as quality of waste, how to store the waste (e-waste) and so on. You further acknowledge, agree, and understand that: (i) you are not an employee of DECYCLE, and you are not eligible for any of the rights or benefits of employment (including unemployment and/or workers compensation insurance); (ii) DECYCLE will not have any liability or obligations, including under or related to Service Contracts and/or WR Services for any acts or omissions by you or other Users; (iii) DECYCLE does not, in any way, supervise, direct, or control any WR Services; does not impose quality standards of the collected wastes from the WG for completion of any Services contracts; (iv) WG is solely responsible to determine the dates of collection as per agreement with DECYCLE collection team and affiliates; (v) once collected waste is being delivered and verified by WR in presence of DECYCLE representative the payment will be processed through bill sent by DECYCLE; (vi) DECYCLE will provide any user with training on how to use the website; (vii) WG is requested to fill in accurate information in the service contract and must follow the terms of and condition of the quality of collected waste shared after the award; (viii) all users complaints will be through DECYCLE and are not entitled to mention names, mobile number, emails, or any information about the user in the service contract or proposal sent; (viiii) DECYCLE will have the right to decline any service contract or proposal that violate the previous clause; WG can withdraw or delete the service contract posted only till the collection is being assigned, else there will be penalty fees associated to that according to the proposal price awarded; any user will have yearly subscription fees that has to be paid before conducting any business on DECYCLE the different plans could be found on www.DECYCLE.CO.

2.3 TAXES AND VAT

DECYCLE is official registered company in the location of operation and will follow the country of operation taxation rules.

3. CONFIDENTIAL INFORMATION

Users may agree to any terms they deem appropriate with respect to confidentiality, including those set forth in the Optional Service Contract Terms. If and to the extent that the Users do not articulate any different agreement with regard to confidentiality, then they agree that this Section 3.3 (Confidential Information) applies.

To the extent a User provides Confidential Information to DECYCLE or User, the recipient will protect the secrecy of the discloser’s Confidential Information with the same degree of care as it uses to protect its own Confidential Information, but in no event with less than due care. On a User’s written request, the party that received Confidential Information will promptly destroy or return the disclosing party’s Confidential Information and any copies thereof contained in or on its premises, systems, or any other equipment otherwise under its control.

The confidentiality includes proposal prices submitted by the WR that cannot be shared with any parties outside the WG authority.

4. DECYCLE FEES

Section 4 describes what fees you agree to pay to DECYCLE in exchange for DECYCLE providing the Site and Site Services to you and what taxes DECYCLE may collect, as detailed below.

4.1 FEES FOR WR

Membership or subscription fees: WR must subscribe into one of DECYCLE plans to access all website features and able to submit proposal to all posted service contracts

Collection fees: WR must pay all related collection and delivery fees of the waste to DECYCLE per job.

4.2 FEES FOR WG

Membership or subscription fees: WG must subscribe into one of DECYCLE plans to access all website features and able to submit and post service contracts for their wastes

5. PAYMENT TERMS

5.1 subscription fees: this should be paid through the website and via master or credit card associated with your company.

5.2 collection fees: these fees will be added to the service contract bill to facilitate delivery of the waste to the WR and it should be bank transfer within 15 days of receiving the waste

5.3 contract fees: in case of award the WR will pay to DECYCLE through bank transfer within 15 days the price for the verified and collected wastes and DECYCLE will pay to WG the full price within 30 days again via bank transfer.

5.4 currency: all currencies will be based on the country of operations.

5.5 payment method: DECYCLE offers many ways of payments (bank transfers, online payments or even cash).

6. WARRANTY DISCLAIMER

DECYCLE makes no representation, guaranty or warranty express or implied to technology, services, rights, or other subject matter of this agreement.

7. LIMITATION OF LIABILITY

DECYCLE shall incur no liability to any of the damages, losses, breaches of this agreement, except to the extent caused by DECYCLE negligence or willful misconduct in performing its obligations under this Agreement, or its material breach of any representation, warranty, covenant, or term of this Agreement.

8. AGREEMENT TERM AND TERMINATION

Either party may terminate this Agreement prior to the beginning of the yearly Renewal Term by providing ninety (90) days written notice to the other party prior to the end of the current term. However, if the termination is requested by the user of DECYCLE, the user will be entitled to pay the rest of the year payment before terminating the contract.

9. DISPUTES BETWEEN YOU AND DECYCLE

In the event of a dispute arising out of or relating to this Agreement, including any question regarding its existence, validity or termination, the parties shall first seek settlement of that dispute by mediation. If the dispute is not settled by mediation within 60 days of the commencement of the mediation, or such further period as the parties shall agree in writing, the dispute shall be referred to and finally resolved by arbitration. The language to be used in the mediation and in the arbitration shall be English. The governing law of the contract shall be the substantive law of country of operations. In any arbitration commenced pursuant to this clause, the number of arbitrators shall be one; and the seat, or legal place, of arbitration shall be based on the country of operations laws.

10. PRIVACY POLICY AND MODIFICATION

DECYCLE acknowledges and agrees that any nonpublic personal information relating to users of DECYCLE may be provided to DECYCLE solely for the purpose of enabling it to preform services pursuant to this agreement and may not be re-used by DECYCLE for any other purpose. Each user/company provided DECYCLE with a copy of its trading license or other documents which will be required for registration. DECYCLE agrees that such information will not be released to any third parties. DECYCLE also agrees not to release proposals and prices from waste recyclers to any third parties except to the waste generator via created contracts in the waste contract hub. DECYCLE had adopted and implemented procedures to safeguard non-public information relating to users and that such procedures are designed to: (i) ensure the security and confidentiality of user record and information; (ii) protecting against any anticipated threats to the security of user information; and (iii) protect against unauthorized access to or use of user information. DECYCLE also follow the Payment Card Industry Data Security Standard when handling credit card data. We reserve the right to make changes to our site, policies, and the use Terms at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

 

 

11. DECYCLE SHOP TERMS OF USE:

Section 11 discusses the terms of use for both customers who will use DECYCLE SHOP to buy the recycled products and merchants who will use DECYCLE SHOP to sell their recycled products as detailed below.

 

11.1 CUSTOMERS TERMS OF USE

11.1.1 ELECTRONIC COMMUNICATIONS

When you use DECYCLE Services, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on this site or through the other DECYCLE Services.

11.1.2 LICENSE AND ACCESS

Subject to your compliance with these terms of Use, and your payment of any applicable fees, DECYCLE or its content providers grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make use of the DECYCLE SHOP. This license does not include any resale or commercial use of any DECYCLE Service, or its contents; any misuse of the DECYCLE shop for the benefit of one part or other third parties will grant DECYCLE the right to terminate your account and you are allowed to use the DECYCLE SHOP only as permitted by law.

11.1.3 YOUR ACCOUNT

You may need your own DECYCLE account to use certain DECYCLE Services, and you may be required to be logged in to the account and have a valid payment method associated with it. If there is a problem charging your selected payment method, we may charge any other valid payment method associated with your account. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password.

11.1.4 RISK OF LOSS

All purchases of physical items from DECYCLE are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

11.1.5 RETURNS, REFUNDS AND TITLE

  

DECYCLE does not take title to returned items until the item arrives at our center. Items shipped from DECYCLE SHOP, can be returned within 15 days of delivery, with some exceptions:

11.1.6 PRODUCT DESCRIPTIONS

DECYCLE attempts to be as accurate as possible. However, DECYCLE does not warrant that product descriptions are accurate, complete, reliable, current, or error-free. If a product offered by DECYCLE itself is not as described, your sole remedy is to return it in unused condition. 

11.1.7 DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

DECYCLE makes no representation, guaranty or warranty express or implied to technology, services, rights, or other subject matter of this agreement. DECYCLE shall incur no liability to any of the damages, losses, breaches of this agreement, except to the extent caused by DECYCLE negligence or willful misconduct in performing its obligations under this Agreement, or its material breach of any representation, warranty, covenant, or term of this Agreement.

11.1.8 DISPUTES BETWEEN YOU AND DECYCLE

11.1.9 SITE POLICIES AND MODIFICATION

11.1.10 DELIVERY TERMS

DECYCLE will start the delivery process once order is placed and confirmed, DECYCLE team will communicate with you to arrange and schedule the delivery terms and per the product availability by the merchants 

11.1.11 OUR ADDRESS

11.2 MERCHANTS TERMS OF USE

11.2.1 ELIGIBILITY AND ONBOARDING

You must register for waste recycler in DECYCLE by providing complete and accurate information about your legal entity, company, businesses, type of products to be sold on DECYCLE, trading licenses that allow you operates in the country of operations, email, phone, address, fill the bank form and finally the owner ID. You must meet our eligibility requirements in order to register for and maintain an Account. We treat all activities under an Account to be those of the registered user. You may not use the Service or your Account on behalf of any other person or entity. You must update registration information promptly upon any change so that it is at all times complete and accurate, and updates to your registration information may be carried across to other accounts that you have with us. We reserve the right to refuse to provide or discontinue the Service to any person or entity, or close the Account of any person or entity, in each case at any time for any reason. You may receive communications or visits from DECYCLE verification team to your office for further checks and validation to activate your account.

11.2.2 PRODUCT SELLING PROCESS AND SETTLEMENT

You will be required to create a new product with accurate description and prices provided to DECYCLE and DECYCLE team will start again the validation process and then post it to DECYCLE SHOP. Once user buy one of the products listed, DECYCLE will settle your payment in 20 days from delivery date.

11.2.3 RETRUN AND REFUND

DECYCLE return and refund policies is as below; DECYCLE does not take title to returned items until the item arrives at our center. Items shipped from DECYCLE SHOP, can be returned within 15 days of delivery, with some exceptions:

You will be asked to share with us your return and refund policies to make sure no conflict is found between both terms and conditions.

11.2.4 RISK AND FRAUD

DECYCLE will start verifying any buyer payments and cards by different means to reduce the risk of fraud and charge backs. We will not process any refund unless the original transaction was paid for by the Cardholder using the relevant Card.

11.2.5 CURRENCY AND PAYMENTS

All payments will be based on country of operations and users will be able to buy the products by credit cards or cash on delivery. DECYCLE will pay you the same way we received the money. DECYCLE payments and commission will be agreed on based according to the amount of sales.

11.2.6 DELIVERY TERMS AND PRODUCTS AVAILBILITY

DECYCLE will start needed communications with you once user has placed and confirmed an order. In case the product is not ready or available you will be required to advise the nearest date to fulfill the order as per the user needs so that DECYCLE can arrange and relay the same to the user for the final consent.

12. DEFINITIONS:

WR: Waste recyclers

WG: Waste generators

WC: Waste collector

Verification of wastes: verifying the quality and quantity of collected waste to approve payments

Verification of WR: verifying the waste recycler licensing and authorization to work in country of operation.

Service contract: the contract created by the WG highlighting the type, quantity of wastes, duration of contract and how often to collect the waste

Proposal: the submitted proposal by the WR to each contract posted
